Terms of Service
Effective Date: 20 June 2026
These Terms of Service (the “Terms”) constitute a legally binding agreement between you and Royouss Sdn Bhd, the operator of the Royouss mobile application and related services (“Royouss,” “we,” “us,” or “our”). The Terms govern your access to and use of the Royouss social platform, the peer-to-peer Marketplace, and all related services, features, and functionality (collectively, the “Service”).
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, the Royouss Privacy Policy, and the Royouss Code of Conduct, each of which is incorporated into these Terms by reference. If you do not agree to these Terms, you may not access or use the Service.
1. Acceptance of Terms
By creating an account, accessing the Service through any means, or otherwise using any feature of the Service, you affirm that you have the legal capacity to enter into a binding contract with Royouss and that you agree to these Terms in their entirety. If you are accessing the Service on behalf of an organization or other legal entity, you represent that you have the authority to bind that organization or entity to these Terms.
Royouss may, in its sole discretion, refuse to provide the Service to any person at any time and may deny, suspend, or terminate any account where Royouss determines that the user does not meet the requirements of these Terms, has violated these Terms or the Code of Conduct, or poses a risk to the integrity of the Service or to other users.
2. Eligibility
You must be at least sixteen (16) years of age to register for or use the Service. By creating an account, you represent that you meet this minimum age requirement.
Participation in the Marketplace, including the posting of listings, the making of offers, and any direct coordination of transactions with other users through the Service, additionally requires that you have the legal capacity to enter into binding contracts in your jurisdiction. If you have reached the age of sixteen but have not yet attained the age of majority under the laws of your jurisdiction, you may use the Marketplace only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
You may not access or use the Service if you are barred from doing so under any applicable law, if you have previously been banned from the Service for violations of these Terms or the Code of Conduct, or if you are located in a jurisdiction in which provision of the Service is prohibited by law.
3. Account Registration and Security
Registration. You may register for an account using your phone number, your email address, or a supported third-party identity provider, including Apple, Google, or Meta (Facebook). You must provide information that is accurate, current, and complete during registration and onboarding, and you must keep your account information current through the in-application settings.
Account Security. You are solely responsible for safeguarding the credentials associated with your account and for all activity that occurs under your account, whether or not such activity was authorized by you. You may not share your account credentials with any other person, sell or transfer access to your account, or permit any other person to operate the Service on your behalf, except as expressly authorized by Royouss in writing.
Suspected Unauthorized Access. If you suspect that your account has been accessed or used without your authorization, you must notify Royouss promptly at support@royouss.com so that Royouss may take appropriate action.
Account Deletion. You may delete your account, and the personal data associated with it, at any time from within the app through the in-application settings. If you cannot access the app, you may request deletion of your account and associated data by writing to privacy@royouss.com. Account deletion is permanent and cannot be undone. Following deletion, Royouss may retain certain information as described in the Privacy Policy, including where retention is required for compliance with legal obligations, for the resolution of disputes, or for the enforcement of these Terms.
4. User Content
Ownership. You retain all rights you may have in the content you create, upload, post, or otherwise make available through the Service, including posts, photographs, comments, polls, reviews, pickup posts, daily-carry submissions, bag collection entries, Marketplace listings, direct messages, and other materials (collectively, “Your Content”). Royouss does not claim ownership of Your Content.
License to Royouss. In order for Royouss to operate the Service and provide the functionality contemplated by these Terms, you grant Royouss a worldwide, non-exclusive, royalty-free, sub-licensable, and transferable license to host, store, copy, reproduce, transmit, display, perform, distribute, adapt, modify (for purposes such as the generation of thumbnails, compressed versions, and format conversions), and otherwise use Your Content for the purpose of operating, improving, marketing, and promoting the Service. This license includes the right to feature Your Content in editorial selections, in App Store and Play Store marketing materials, and in social-media communications related to Royouss, with attribution where reasonably practicable. The license granted in this Section continues for so long as Your Content remains on the Service. When you delete Your Content or your account, the license terminates with respect to that content, except that the license shall continue to apply to copies retained for legal, audit, or trust-and-safety purposes in accordance with the Privacy Policy, and except that portions of Your Content that have been re-posted, quoted, or referenced by other users may continue to exist on those other surfaces.
Representations and Warranties. You represent and warrant that you own or otherwise have all rights necessary to grant the license set forth in this Section, that Your Content does not infringe any third-party right (including any intellectual property right, privacy right, or publicity right), and that Your Content complies with these Terms, the Code of Conduct, and applicable law.
Royouss’s Right to Moderate. Royouss may, but is not obligated to, review, moderate, edit, label, refuse to display, hide, demote, or remove Your Content at any time in its sole discretion. Royouss may suspend, restrict, or terminate accounts that repeatedly violate these Terms or the Code of Conduct. Removal of any particular content does not constitute a representation that Royouss will remove similar content elsewhere on the Service.
5. Acceptable Use of the Platform
You agree not to use the Service to engage in, encourage, or facilitate any of the conduct described in this Section, and you agree that any such use constitutes a material breach of these Terms.
Compliance with Law. You shall not use the Service in any manner that violates applicable law or regulation, infringes any third-party right (including any intellectual property right, privacy right, or publicity right), or assists any other party in doing so.
Counterfeit and Mislabeled Goods. You shall not post, sell, promote, offer, advertise, link to, or otherwise traffic in counterfeit goods, replica goods, “inspired-by,” “super-fake,” or “1:1” goods, or any goods that misrepresent authenticity, brand of origin, condition, or provenance. The posting of counterfeit goods may constitute a criminal offence under Malaysian law, including the Trade Descriptions Act 2011 and the Trade Marks Act 2019, as well as comparable laws in other jurisdictions.
Scams and Fraud. You shall not engage in any form of fraudulent conduct, including the posting of fake listings, the posting of fake reviews, the operation of “deposit-and-disappear” schemes, the substitution of items at the point of delivery (commonly referred to as “switch-bag” deceit), the redirection of payments outside of agreed terms with the intent to defraud, or any other conduct intended to obtain money, goods, or services from another user under false pretenses.
Spam and Misuse of Communications. You shall not transmit unsolicited promotional messages, chain communications, automated mass messages, or other forms of spam through any feature of the Service, including direct messaging. You shall not misuse direct messaging to harass other users, to evade moderation, or to circumvent restrictions Royouss has placed on your account.
Harassment, Hate Speech, and Impersonation. You shall not harass, threaten, stalk, intimidate, defame, or impersonate any person; post hate speech or discriminatory content on the basis of race, ethnicity, national origin, religion, caste, gender, gender identity, sexual orientation, disability, age, or any other protected or personal characteristic; coordinate brigading or pile-on conduct against any user; or impersonate Royouss, another user, a brand, a public figure, or any other person or entity.
Inappropriate Content. You shall not post sexually explicit material, graphic violence, content that promotes or depicts self-harm, content involving minors in any sexual or exploitative context, or content that promotes the sale of items that are illegal to sell in the relevant jurisdiction, including controlled substances, weapons, stolen goods, and prohibited financial instruments.
Technical Misuse. You shall not reverse-engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Service except to the extent expressly permitted by applicable law; probe, scan, scrape, crawl, or otherwise interfere with the Service or its underlying infrastructure; bypass rate limits, authentication mechanisms, or security controls; or use bots, automated tools, or other non-human means to access the Service without Royouss’s express written consent.
Service Integrity. You shall not use the Service in any manner that imposes an unreasonable load on Royouss’s systems, that degrades the experience of other users, or that interferes with the security, availability, or integrity of the Service.
User Privacy. You shall not collect, store, or otherwise process personal information about other users of the Service without their consent and except as expressly permitted by these Terms.
Misuse of Moderation Tools. You shall not misuse the report, mute, or block features of the Service, including by participating in coordinated mass-reporting intended to suppress lawful expression that does not actually violate these Terms or the Code of Conduct.
The Code of Conduct expands on the prohibitions set forth in this Section with illustrative examples and additional community-specific expectations. These Terms and the Code of Conduct are to be read together, and a breach of the Code of Conduct constitutes a breach of these Terms.
6. Marketplace Terms
Royouss operates the Marketplace as a peer-to-peer listing platform for designer bags and directly related accessories. The current version of the Marketplace functions as a bulletin board for listings and offers. Royouss does not process payments, hold funds in escrow, ship goods, verify the authenticity of listed items, or guarantee the outcome of any transaction.
Nature of the Marketplace. Royouss hosts listings, enables buyers and sellers to discover one another, provides direct messaging functionality for the coordination of transactions, and allows buyers and sellers to leave reviews following completed transactions. Royouss does not act as a party to any transaction between users, does not take title to listed items, does not collect or hold payment for items, does not authenticate or inspect items, does not arrange shipping or insurance, does not act as broker, dealer, escrow agent, money transmitter, or financial institution, and does not guarantee that any listing is accurate, lawful, or as described. All transactions take place directly between buyer and seller and outside the Service. Royouss is not a party to such transactions and is not liable for the conduct, performance, or non-performance of any user in connection with such transactions.
Seller Disclosure Obligations. Each listing you publish must contain sufficient and accurate information to enable a prospective buyer to make an informed decision. At a minimum, you must clearly disclose: the name by which you may be identified or contacted; a means of contacting you (which, for most users, will be your in-application profile and direct messaging); a clear and accurate description of the item, including its brand, model, and condition; the full price you are asking, stated in the applicable currency and inclusive of any charges you require the buyer to pay; your preferred deal method (meet-up or shipping) and, where shipping is offered, who bears the cost of delivery; and any other information reasonably necessary to avoid misleading the buyer. Where you are carrying on a business through the Service, you must additionally disclose the name and business registration number of that business and a business contact address, and you must ensure that your activities are registered with the Companies Commission of Malaysia (Suruhanjaya Syarikat Malaysia) where registration is required under the Registration of Businesses Act 1956 or other applicable law. These obligations are intended to align with the disclosure requirements applicable to online trade transactions in Malaysia, including under the Consumer Protection (Electronic Trade Transactions) Regulations 2024.
Platform Compliance Measures. Although Royouss operates only as a listing board and is not a party to, and does not process or facilitate the settlement of, any transaction between users, Royouss takes reasonable steps consistent with applicable consumer-protection law to support fair dealing on the Marketplace. These steps may include requiring sellers to provide the disclosures described above before a listing is published, monitoring listings and advertisements for compliance with these Terms and applicable law, maintaining records relating to sellers and listings for such period as may be required by applicable law, and providing a channel through which buyers may raise complaints concerning Marketplace dealings as described below. Nothing in this Section, and no measure adopted by Royouss, is an admission that Royouss is an “online marketplace operator” or a “supplier” under any particular law, and Royouss reserves all rights and positions in that regard.
Seller Representations and Warranties. If you post a listing on the Marketplace, you represent and warrant that you are the lawful owner of the item being listed, or that you are otherwise authorized to sell the item; that the item is authentic and is not counterfeit, replica, “inspired-by,” “super-fake,” “1:1,” or otherwise misrepresented as to brand, authenticity, condition, or provenance; that the photographs in your listing depict the actual item being sold and are not stock images or photographs of a comparable item; that the condition description in your listing is accurate to the best of your knowledge and discloses all material flaws known to you; that the asking price reflects the amount you actually intend to receive for the item, free of any hidden fees or bait-and-switch arrangements; and that you will not simultaneously list the same item on a different platform with materially different information.
Buyer Responsibility and Due Diligence. If you contact a seller in connection with a listing, you are solely responsible for conducting your own due diligence prior to entering into a transaction. This includes carefully reviewing photographs, requesting additional information from the seller, verifying authenticity (including through paid third-party authentication services where the value of the transaction warrants), confirming condition, agreeing on a payment method, and arranging delivery or in-person meet-up. Royouss strongly recommends that buyers use traceable payment methods, meet sellers in safe public locations when in-person meet-up is selected, confirm that the item received matches the listing prior to releasing payment, and retain documentation (including screenshots of communications, payment confirmations, and courier tracking information) at every stage of the transaction.
Disputes. Any dispute concerning a transaction conducted in connection with the Marketplace is a dispute solely between the buyer and the seller, and not with Royouss. Royouss may, in its sole discretion and without obligation, facilitate communication between the parties, review user reports, suspend listings, or take enforcement action against offending accounts. However, Royouss does not act as agent, mediator, arbitrator, or guarantor for any transaction, and Royouss does not refund, compensate, or indemnify any user for a failed, fraudulent, or unsatisfactory transaction. In addition to the in-application reporting tools, buyers may raise complaints concerning a Marketplace dealing by contacting Royouss at support@royouss.com. Royouss will acknowledge complaints without undue delay and will review them within a reasonable time, but does not guarantee any particular outcome and remains a non-party to the underlying transaction. This complaints channel does not limit any right you may have to refer a matter to the Ministry of Domestic Trade and Cost of Living (Kementerian Perdagangan Dalam Negeri dan Kos Sara Hidup), the Tribunal for Consumer Claims Malaysia, or any other competent authority.
Fees. Royouss does not charge fees in connection with Marketplace transactions in the current version of the Service. If Royouss introduces fees in the future, Royouss will provide advance notice and an opportunity for users to accept the updated Terms before such fees take effect.
Prohibited Items. The Marketplace may be used only to list designer bags and directly related accessories, including straps, charms, dust bags, and authentication certificates associated with a bag being sold. The Marketplace may not be used to list counterfeit goods, replica goods, stolen goods, weapons, controlled substances, currency, financial instruments, services, or any item that is illegal to sell in the jurisdiction of the buyer or the seller.
Taxes. Each user is solely responsible for the assessment and payment of any taxes, duties, customs charges, or other governmental fees arising from any transaction conducted in connection with the Marketplace, and for any reporting obligations associated with such transactions.
7. Reviews and Ratings
Reviews you submit through the Service, whether concerning bag models, Marketplace counterparties, or any other reviewable subject matter, must reflect your genuine, first-hand experience. You shall not post fake, paid, coordinated, or solicited reviews; trade favorable reviews with other users; or use reviews to retaliate against, extort, or intimidate any user. Royouss may remove reviews that violate this Section and may suspend or terminate accounts that engage in review manipulation.
8. Direct Messaging
Direct messages exchanged through the Service are accessible only to the participants of the conversation, except where access is required for moderation, abuse investigation, response to user reports, or compliance with applicable law. You may control who is permitted to initiate a conversation with you through the in-application privacy settings. You may mute, block, or report any other user, and you may delete messages you have sent. Royouss may scan messages for the limited purposes of detecting abuse, spam, fraud, and other harmful conduct, and Royouss may review reported messages in connection with moderation activities. Royouss does not monitor direct messages for advertising purposes or for any purpose unrelated to the operation, safety, and integrity of the Service.
9. Intellectual Property
Royouss Intellectual Property. The Royouss name, the Royouss logo, the design and layout of the Service, all software underlying the Service, all written content produced by Royouss, and all other materials provided by Royouss in connection with the Service are owned by Royouss or its licensors and are protected by intellectual property and other applicable laws. Nothing in these Terms grants you any right, title, or interest in or to Royouss’s trademarks, branding, source code, or proprietary materials, except as strictly necessary to access and use the Service in accordance with these Terms.
Third-Party Trademarks. Brand names, model names, brand logos, and other trademarks of third parties referenced in posts, listings, the in-application directory, and other surfaces of the Service (including, by way of example, “Hermès,” “Chanel,” and “Louis Vuitton”) are the property of their respective owners. Their inclusion in the Service is purely descriptive and does not imply any sponsorship, endorsement, partnership, affiliation, or other commercial relationship between Royouss and any such third party.
Copyright Complaints. If you believe in good faith that content available through the Service infringes a copyright that you own or are authorized to enforce, you may submit a written notice to legal@royouss.com with the subject line “Copyright complaint.” Your notice should include your name, address, telephone number, and email address; a description of the copyrighted work you claim has been infringed; the URL or in-application location of the allegedly infringing content; a statement, made in good faith, that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or applicable law; a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner’s behalf; and your physical or electronic signature. Royouss will review properly submitted notices within a reasonable time, may remove or restrict access to allegedly infringing content while a notice is under review, and may terminate the accounts of users determined to be repeat infringers.
10. Reporting and Moderation
You may report posts, comments, listings, direct messages, profiles, and other content that you believe violates these Terms or the Code of Conduct using the in-application reporting tools. Royouss reviews reports and may take enforcement action ranging from no action through warning, content removal, mute, temporary suspension, and permanent termination of the offending account. Royouss aims to apply moderation rules fairly and consistently but does not guarantee any particular outcome with respect to any individual report. The Code of Conduct describes the enforcement framework, escalation ladder, and appeals process in further detail.
11. Paid Services
The Service is currently provided to users without charge. If Royouss introduces paid features in the future (which may include, by way of example, video uploads on a premium plan, Marketplace transaction fees, or premium subscription services), Royouss will publish separate terms governing such paid features, including pricing, billing arrangements, renewals, refunds, and cancellation. Royouss will not bill any user for any paid feature without the user’s express opt-in, and continued use of the free portions of the Service will remain available subject to these Terms.
12. Suspension and Termination
Royouss may suspend, restrict, or terminate your access to the Service, including by removing content, removing listings, or terminating your account, if Royouss reasonably determines that you have violated these Terms, the Code of Conduct, or applicable law; that your conduct poses a risk to other users, to Royouss, or to third parties; that suspension or termination is required by a court order, governmental authority, or other legal process; or that such action is necessary to protect Royouss’s legitimate interests.
Where appropriate and consistent with safety, security, and legal considerations, Royouss will provide notice of suspension or termination and a reasonable opportunity to respond. You may terminate this agreement at any time by deleting your account through the in-application settings.
Termination of this agreement shall not affect any right, obligation, or liability that accrued prior to termination, nor shall it affect any provision of these Terms that, by its nature, is intended to survive termination, including provisions relating to ownership, intellectual property, indemnification, limitation of liability, disclaimer of warranties, governing law, and dispute resolution.
13. Disclaimers
To the maximum extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. Royouss expressly disclaims all warranties, including any warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, completeness, currency, security, and availability.
Royouss does not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components. Royouss does not warrant that any content available through the Service, including bag information, prices, reviews, ratings, or listings, is accurate, complete, current, or reliable. Royouss does not warrant the authenticity, condition, legality, or quality of any item listed on the Marketplace, the identity, integrity, or trustworthiness of any user, or the outcome of any transaction conducted in connection with the Marketplace. Any reliance you place on any content available through the Service, or on any information provided by another user, is at your sole risk.
Certain jurisdictions do not permit the disclaimer of certain warranties. In such jurisdictions, the disclaimers in this Section apply only to the extent permitted by applicable law. In particular, nothing in these Terms operates to exclude, restrict, or modify any guarantee, right, or remedy conferred on you as a consumer by the Consumer Protection Act 1999 or any other applicable Malaysian law that cannot lawfully be excluded, restricted, or modified, and your statutory consumer rights are preserved in full.
14. Limitation of Liability
To the maximum extent permitted by applicable law, neither Royouss nor any of its affiliates, officers, directors, employees, agents, or licensors shall be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, including damages for lost profits, lost revenue, lost goodwill, lost data, or lost business opportunities, arising out of or relating to your access to or use of the Service, even if Royouss has been advised of the possibility of such damages.
The aggregate liability of Royouss to you for all claims arising out of or relating to the Service in any twelve-month period shall not exceed the greater of (a) the total amount paid by you to Royouss during that twelve-month period (which, in the current version of the Service, is zero), and (b) one hundred Malaysian Ringgit (MYR 100).
Nothing in these Terms shall be construed to exclude or limit liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, any liability or consumer right that cannot lawfully be excluded or limited under the Consumer Protection Act 1999 or other applicable Malaysian law, or any other liability that may not be excluded or limited under applicable law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Royouss and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, damages, liabilities, losses, costs, and expenses (including reasonable legal fees and expenses) arising out of or relating to Your Content; your use of the Service in violation of these Terms, the Code of Conduct, or applicable law; any transaction you enter into in connection with the Marketplace; or your violation of any right of any third party, including any intellectual property right, privacy right, or publicity right.
Royouss shall provide you with prompt notice of any claim subject to indemnification under this Section and shall reasonably cooperate with you in the defense of such claim. You may not enter into any settlement of a claim that imposes any obligation or liability on Royouss without Royouss’s prior written consent.
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict-of-laws principles.
Prior to initiating any formal proceeding, you and Royouss agree to attempt in good faith to resolve any dispute informally by providing written notice to Royouss at legal@royouss.com describing the dispute, the relief sought, and contact information for the notifying party. Royouss shall respond within thirty (30) days of receipt of such notice.
If a dispute is not resolved within sixty (60) days of the initial notice, you and Royouss agree that the courts of Kuala Lumpur, Malaysia shall have exclusive jurisdiction to resolve the dispute, subject to any non-waivable consumer protection right you may have under the law of your country of residence to bring proceedings before the courts of that country. In particular, if you are a consumer resident in Malaysia, nothing in this Section limits any right you may have to pursue a claim before the Tribunal for Consumer Claims Malaysia or any other forum made available to you under the Consumer Protection Act 1999, and the limitations and exclusions in these Terms apply only to the extent permitted by that Act and other applicable Malaysian law.
17. Modification of the Service and These Terms
Royouss is actively developing the Service and reserves the right, at any time and in its sole discretion, to modify, suspend, discontinue, add, or remove features, limits, or functionality of the Service, with or without notice. Royouss shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service, except as required by applicable law.
Royouss may amend these Terms from time to time. In the event of a material change, Royouss will notify users through the Service or by email and will update the “Effective Date” at the top of these Terms. Your continued access to or use of the Service following the effective date of an amendment constitutes your acceptance of the amended Terms. If you do not accept an amendment, your sole remedy is to stop using the Service and to delete your account.
18. Miscellaneous Provisions
Entire Agreement. These Terms, together with the Privacy Policy and the Code of Conduct, constitute the entire agreement between you and Royouss with respect to the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the subject matter hereof.
No Waiver. No failure or delay by Royouss to exercise any right under these Terms shall operate as a waiver of that right, and no single or partial exercise of any right shall preclude any other or further exercise of that right or any other right.
Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by applicable law.
Assignment. You may not assign, transfer, or sublicense your rights or obligations under these Terms, in whole or in part, without Royouss’s prior written consent, and any attempted assignment in violation of this provision shall be void. Royouss may assign, transfer, or sublicense its rights and obligations under these Terms, in whole or in part, including to any affiliate or to any successor in connection with a merger, acquisition, financing, reorganization, or sale of assets, without your consent.
Notices. Royouss may provide notices to you through the Service (including by in-application message or push notification) or by email to the address associated with your account. You may provide notices to Royouss at support@royouss.com, except as otherwise expressly required by these Terms.
No Third-Party Beneficiaries. These Terms do not, and are not intended to, confer any right, benefit, or remedy on any person or entity other than you and Royouss.
Headings. Section headings used in these Terms are for convenience of reference only and shall not affect the interpretation of these Terms.
